Boeing to Sell Digital Aviation Assets For $10.55 Billion

Boeing has announced a strategic agreement to sell portions of its Digital Aviation Solutions business, including its renowned Jeppesen, ForeFlight, AerData, and OzRunways assets, to Thoma Bravo.

The all-cash deal, valued at an impressive $10.55 billion, enables Boeing to focus more on its core operations while also enhancing its financial position.

While Boeing parts ways with these digital platforms, the company will retain its core digital capabilities that leverage aircraft and fleet-specific data.

These retained assets will continue to support commercial and defense customers with services such as fleet maintenance, diagnostics, and repair. Boeing’s commitment to providing predictive and prognostic maintenance insights will remain a crucial part of its ongoing digital portfolio.

In a statement, Kelly Ortberg, President and CEO of Boeing, said, “This transaction is an important component of our strategy to focus on core businesses, supplement the balance sheet, and prioritize the investment-grade credit rating.”

Approximately 3,900 employees work across Boeing’s Digital Aviation Solutions organization, which includes both the assets being sold and those remaining within Boeing. The company is working closely with Thoma Bravo to ensure a smooth transition for these employees and to continue fulfilling all customer obligations.

The deal, which is expected to close by the end of 2025, remains subject to regulatory approval and customary closing conditions. Citi is acting as Boeing’s exclusive financial advisor, while Mayer Brown LLP serves as outside counsel. For Thoma Bravo, Kirkland & Ellis LLP is providing legal counsel.
